NOTICE: COMMERCIAL B2B SERVICE AGREEMENT • FLAT $24 PLATFORM FEE MODEL

THIS MASTER SERVICE AGREEMENT ("MSA") governs commercial access to the ROBUR marketplace and is entered into between getrobur LLC ("ROBUR") and the commercial entity posting missions ("Mission Buyer" or "Buyer").

1. MARKETPLACE ARCHITECTURE ROBUR provides a B2B technology platform connecting independent commercial operators with independent contractors. ROBUR DOES NOT PROVIDE TEMPORARY LABOR, STAFFING SERVICES, OR DIRECT LABOR SUPERVISION. Each published Mission constitutes an independent, bilateral commercial engagement between the Mission Buyer and the accepting Earner.

2. OBLIGATIONS OF THE MISSION BUYER 2.1. Outcomes-Only Specification: Buyer shall specify the objective deliverable, project outcome, facility access requirements, and lawful safety rules. BUYER SHALL NOT DIRECT OR EXERCISE CONTROL OVER THE MEANS, MANNER, OR METHODS OF PERFORMANCE OF THE EARNER. 2.2. Prohibition on Employment-Style Direction: Buyer shall not: (a) Require Earner to adhere to internal employee handbooks; (b) Demand attendance at non-safety employee meetings; (c) Impose non-competition or exclusivity restrictions on the Earner; or (d) Treat or describe the Earner as an employee of Buyer or of ROBUR. 2.3. Heavy Machinery & Equipment Verification (OSHA 1910.178): If a Mission involves Forklift Operation or Powered Machinery: (a) BUYER IS SOLELY RESPONSIBLE FOR PHYSICALLY INSPECTING AND VERIFYING THE EARNER'S VALID OSHA CERTIFICATION PRIOR TO AUTHORIZING EQUIPMENT OPERATION. (b) Buyer shall not permit an Earner to operate unsafe, unmaintained, or uninspected machinery. (c) Buyer acknowledges that ROBUR's digital credential collection is an administrative prima facie gate and does not constitute a certified operator guarantee under federal safety standards.

3. CERTIFICATE OF INSURANCE (COI) & PRIMA FACIE RECORDKEEPING 3.1. COI Mandate: Buyer must maintain Commercial General Liability (CGL) coverage of at least $1,000,000 per occurrence / $2,000,000 aggregate, naming getrobur LLC as an Additional Insured. 3.2. Prima Facie Allocation: Buyer acknowledges that ROBUR's receipt of a COI is an administrative recordkeeping requirement. Buyer warrants that its policy is valid, active, and fully collectible. Buyer agrees to fully indemnify ROBUR against any loss resulting from policy cancellation, lapse, or insurer insolvency.

4. ACCIDENT COVERAGE Buyer acknowledges that ROBUR does not currently provide occupational accident, health, disability, or workers' compensation insurance for Earners, and that Earners are independent contractors responsible for their own coverage. ROBUR will notify Buyer in writing before any platform-provided accident coverage takes effect.

5. COMMERCIAL PRICING, FLAT FEES, AND B2B SUBSCRIPTIONS 5.1. Flat Platform Fee: Non-subscription accounts ("Pay-As-You-Go") pay: (a) The frozen Earner Payout amount (100% disbursed to the Earner); and (b) ROBUR's Flat Platform Technology Fee of exactly twenty-four U.S. dollars ($24.00) per discrete Mission. 5.2. Emergency & Transit Dispatch Surcharge: Missions requesting arrival under twenty-five (25) minutes incur a flat mobility facilitation surcharge of twenty-five U.S. dollars ($25.00). 5.3. B2B Subscription Tiers (ROBUR Priority Pass): Buyer may elect to enroll in recurring monthly memberships: (a) Business Pro Tier ($199.00/month): Standard emergency dispatch surcharge waived, priority matching algorithm, discounted flat platform fee of $20.00 per Mission. (b) Enterprise Multi-Unit Tier ($599.00–$999.00/month): Multi-unit dashboard, consolidated Net-30 enterprise invoicing, custom SLA routing. 5.4. Auto-Renewal & Cancellation: Subscriptions auto-renew monthly. Cancellation may be executed via account settings or notice to office@getrobur.com at least forty-eight (48) hours prior to the renewal date.

6. FILL-OR-CREDIT POLICY If an authorized published Mission fails to match with an Earner within the designated dispatch window, ROBUR may issue an internal platform credit pursuant to its published policy. SUCH CREDIT CONSTITUTES BUYER'S SOLE AND EXCLUSIVE REMEDY AND SHALL NOT BE CONSTRUED AS A GUARANTEE OF LABOR AVAILABILITY, AN INSURANCE POLICY, OR A PENALTY.

7. INDEMNIFICATION BY BUYER Buyer agrees to defend, indemnify, and hold harmless getrobur LLC, its affiliates, members, and officers from and against any third-party claims, government investigations, penalties, liabilities, or losses arising out of or related to: (a) Physical bodily injury, illness, or property damage occurring at Buyer's premises; (b) Buyer's violation of OSHA, labor, wage/hour, or anti-discrimination statutes; (c) Misuse of heavy equipment or failure to verify equipment credentials; (d) Any reclassification claim asserting that Earner was an employee of Buyer; or (e) Buyer's failure to maintain the mandated CGL insurance policies.

8. LIMITATION OF LIABILITY (CARVE-OUTS) Except for claims resulting from gross negligence, willful misconduct, or statutory indemnification obligations under Texas law, ROBUR's aggregate liability arising under this MSA shall not exceed the total platform fees actually paid by Buyer to ROBUR in the six (6) months preceding the claim.

9. DISPUTES & ARBITRATION DELEGATION Governed by Texas law. Any dispute shall be resolved through binding individual arbitration in Dallas County, Texas, under AAA Commercial Rules. The arbitrator holds exclusive authority to determine the validity, scope, and enforceability of this agreement (Delegation Clause). Official legal notices: office@getrobur.com.
