1. WHO WE ARE AND WHAT THIS IS
ROBUR is operated by [LEGAL ENTITY NAME], a [STATE] [ENTITY TYPE] ("ROBUR," "we," "us," "our").
ROBUR is compliance infrastructure and a payment layer. We operate an online platform that allows businesses ("Mission Buyers") to post short, defined engagements ("Missions") and allows independent contractors ("Earners") to find, accept, and perform those Missions, and to be paid for them.
What ROBUR is NOT. ROBUR is not a staffing agency, an employment agency, a labor broker, a professional employer organization, or an employer of record. ROBUR does not employ Earners. ROBUR does not hire, assign, supervise, direct, schedule, or control any Earner or any Mission Buyer. ROBUR does not guarantee that any Mission will be filled, that any Earner will accept or attend any Mission, or that any Mission Buyer will post any Mission.
The contracting relationship is between the Mission Buyer and the Earner. ROBUR is not a party to that engagement. ROBUR generates, presents, and stores the records of that engagement, and executes payment through our payment processor.
By accessing or using ROBUR, you agree to these Terms of Service ("Terms"). If you do not agree, do not use ROBUR.
2. ELIGIBILITY
You must be at least 18 years old and legally able to enter into contracts. Earners must be legally authorized to perform independent-contractor work in the United States. Mission Buyers must be a business entity or an authorized representative of one.
You may hold either an Earner account or a Mission Buyer account. You may not hold both.
3. ACCOUNTS
You must provide accurate information and keep it current. You are responsible for your account credentials and for all activity under your account. Notify us immediately of any unauthorized use. We may suspend or terminate an account that violates these Terms or the Acceptable Use Policy.
4. HOW MISSIONS WORK
4.1 Posting. A Mission Buyer defines the Mission: the work, the location, the start time, the duration, and the payout offered. ROBUR does not set, suggest, or control Mission pricing.
4.2 Applying. Earners choose which Missions to apply for. No Mission is ever assigned to an Earner. An Earner may accept the posted payout or propose their own rate, subject to any maximum the Mission Buyer has set. ROBUR does not set any Earner's rate.
4.3 Selection. The Mission Buyer independently selects which Earner(s) to engage. ROBUR does not select, rank, score, or recommend Earners, and does not gate any Earner's access to work.
4.4 Contracts. Before an engagement is confirmed, both parties sign a per-Mission engagement contract. ROBUR is not a party to it — ROBUR generates it, presents it, and stores it as record keeper.
4.5 Performance. The Earner performs the Mission as an independent contractor. The Mission Buyer, not ROBUR, directs the work at its own site. The Earner controls the manner and means of their performance, and is free to work for anyone else, including competitors, at any time.
4.6 Records. ROBUR records clock-in and clock-out times, and (with consent) location and arrival data, as described in the Privacy Policy.
5. FEES AND PAYMENTS
5.1 The Mission Buyer pays. The Mission Buyer pays the Earner's full payout plus a ROBUR platform fee. The full breakdown — the Earner's payout, ROBUR's fee, and the total charge — is shown to the Mission Buyer before the Mission is posted.
5.2 ROBUR's fee is charged to the Mission Buyer. ROBUR's fee is never deducted from an Earner's payout. The Earner receives 100% of the agreed payout.
5.3 Fee amount. ROBUR's standard fee is [22]% of the Earner's payout. The fee may be lower where a Mission Buyer re-engages the same Earner, or under any promotional program. The applicable fee is always displayed before the Mission Buyer commits.
5.4 Payment processing. Payments are processed by Stripe, a licensed payment services provider. ROBUR does not hold, custody, or take possession of Earner funds. Funds are held and released by Stripe under its own terms, which you must also accept.
5.5 Cash Missions. Where a Mission Buyer pays an Earner directly in cash, both parties confirm the payment in the app, and ROBUR records the confirmation and issues a receipt. ROBUR does not handle the cash. ROBUR's fee remains payable by the Mission Buyer.
5.6 Taxes. Earners are independent contractors and are responsible for their own taxes. ROBUR does not withhold taxes. Where required, ROBUR will issue an IRS Form 1099. Any tax set-aside feature is a voluntary savings tool provided through our payment processor and is not tax advice.
5.7 Credits and rewards. Any credits, bonuses, or rewards are funded by ROBUR as a promotional matter, are not compensation for work, have no cash value except as stated, and may be modified or withdrawn prospectively at any time.
6. FILL-OR-CREDIT
If a Mission slot is not filled, the Mission Buyer is not charged for that slot and may receive a credit as described in the product. ROBUR does not guarantee that any Mission will be filled. Any fill indicators shown in the product are live signals, not guarantees.
7. INSURANCE
7.1 ROBUR. ROBUR maintains platform-level insurance appropriate to its role as a technology and payment provider.
7.2 Mission Buyers. Each Mission Buyer must maintain its own general liability insurance and must provide proof of it, naming ROBUR as an additional insured where required. ROBUR requires and collects proof of insurance. ROBUR does not verify, endorse, or guarantee the adequacy, validity, or continuing effect of any insurance policy.
7.3 Earners. Earners are independent contractors and are responsible for their own insurance and their own safety equipment unless the Mission Buyer states otherwise.
8. BACKGROUND CHECKS AND CREDENTIALS
Certain Missions may require a background check or a credential. Any background check is conducted by a third-party consumer reporting agency, is initiated only with the Earner's separate written authorization, and is governed by the Fair Credit Reporting Act. Credentials (licenses, certifications) are declared by the Earner. ROBUR collects declarations and, where applicable, documents. ROBUR does not verify, endorse, or guarantee any credential. Mission Buyers are responsible for satisfying themselves as to any credential required for their work.
9. RATINGS AND RECORDS
Mission Buyers and Earners may rate each other after a Mission. ROBUR does not compute a quality score for any Earner, does not rank Earners, and does not use any rating to gate an Earner's access to work. Mission Buyers may see their own history with an Earner and factual records the Earner generated (for example, Missions completed).
A Mission Buyer may choose not to be matched with a particular Earner again. That choice is private to the Mission Buyer and is not communicated to the Earner and not shared with any other Mission Buyer.
10. REFERRALS AND CREW INVITATIONS
Users may invite others to ROBUR. Any referral reward is funded by ROBUR, is a promotional thank-you, and is never paid out of another user's payout.
An Earner may invite others to an open, multi-Earner Mission. This is an invitation, not an assignment. Every invited person applies independently, signs their own contract, and is independently selected by the Mission Buyer. No Earner may take any share of another Earner's payout, set another Earner's rate, or direct another Earner's work. Doing so is a material breach of these Terms and may be unlawful.
11. PROHIBITED CONDUCT
See the Acceptable Use Policy. Without limiting it, you may not:
- Circumvent ROBUR to avoid fees on work sourced through the platform;
- Misrepresent your identity, credentials, insurance, or business;
- Take, request, or accept any share of another Earner's payout;
- Discriminate unlawfully;
- Use ROBUR for any unlawful, unsafe, or fraudulent purpose;
- Harass, threaten, or endanger any person.
12. DISPUTES BETWEEN USERS
Disputes about work performed, hours, or payment are between the Mission Buyer and the Earner. ROBUR provides a dispute channel and will make available the records it holds (clock times, contracts, receipts, and any location trail collected with consent). ROBUR acts as a record keeper. ROBUR does not adjudicate the merits of an engagement and is not liable for either party's conduct.
13. DISCLAIMERS
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROBUR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
ROBUR DOES NOT: guarantee that any Mission will be filled; guarantee that any Earner will attend or perform; guarantee the quality, safety, legality, or suitability of any Mission or any party; verify any credential, insurance policy, or statement made by any user; or guarantee any income, work volume, or legal or tax outcome, including any worker-classification outcome.
ROBUR IS NOT A LAW FIRM, AN ACCOUNTING FIRM, OR AN INSURANCE BROKER, AND PROVIDES NO LEGAL, TAX, OR INSURANCE ADVICE.
14. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROBUR WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.
ROBUR'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM WILL NOT EXCEED THE GREATER OF (a) the total platform fees you paid to ROBUR in the [three (3)] months preceding the event giving rise to the claim, or (b) [USD 100].

15. INDEMNIFICATION
You will indemnify, defend, and hold harmless ROBUR and its officers, directors, employees, and agents from any claim, demand, loss, liability, or expense (including reasonable attorneys' fees) arising from (a) your use of the platform, (b) your breach of these Terms, (c) your violation of any law, (d) any engagement you enter into with another user, or (e) any injury, damage, or loss occurring at a Mission site.
16. TERMINATION
You may close your account at any time. We may suspend or terminate your access at any time for breach, for risk to other users, or as required by law. Obligations that by their nature survive — including payment, indemnification, disclaimers, and limitation of liability — survive termination.
17. CHANGES
We may update these Terms. Material changes will be notified in the product or by email. Continued use after the effective date constitutes acceptance.
18. GOVERNING LAW AND DISPUTES WITH ROBUR
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. [COUNSEL: confirm. Add arbitration / class-waiver clause here if adopted — and advise on enforceability against independent contractors in Texas.]
